Descriptions and Responsibilities for Positions Open in 2008 and Procedure for Selecting Nominees

Position Descriptions and Responsibilities
All Board Members have responsibility for the financial stability and organizational integrity of the association. To be eligible to run for the Board of Directors, the candidate must be a member of their local NAAEE affiliate, provided there is one and member of NAAEE in good standing. All candidates must also sign the “Board Commitment Form” to be eligible for the Board of Directors.


At Large and Appointed Board Members

At Large and Appointed Board Members commit an average of 2.5 to 3 days per month to fulfill the following board member basic responsibilities:

  • Serve in an oversight role to see that the association’s strategic plan is implemented and revised as needed.
  • Assist in the formation and evaluation of policies that direct the association’s operations and programs to meet planned goals and objectives.
  • Play an active role in helping to raise funds for the association.
  • Serve as an advocate for the profession of EE and an ambassador of the association.
  • Participate in the identification and development of association leaders.
  • Attend all board meetings (annual retreat, meeting at the annual conference and board conference calls).
  • Fully participate in two committees as a Liaison or member of a Committee of the Board.
  • Review and respond to online discussions and written communications related to board activities.
  • Attend and actively participate in the NAAEE annual conference.

Board members are expected to serve the association as a whole rather than serve any special interest group or constituency. 
 

Treasurer

Treasurer serves as an officer of the board and commits an average of 3 to 4 days per month:

  • Fulfills all responsibilities for board members previously listed.
  • Monitors association funds and financial reports.
  • Chairs the finance committee that is responsible for budget development, oversight, and review.
  • Shall work with the Chief Operations Officer to assure that an annual audit is conducted.
  • Review monthly reconciliations and prepare with Finance Committee quarterly reports to the board.
  • Can serve as the NAAEE legal representative if required by external groups such as a bank.

The Treasurer shall be bonded and is authorized to sign checks and pay bills on behalf of the association should the Executive Director be unavailable or incapacitated.


Terms

  • At-large Members serve for 3 years—January 1, 2009 to December 31, 2011
  • Treasurer serves for 2 years—January 1, 2009 to December 31, 2010.


Eligibility

At a minimum, candidates must have been a voting member of the association for at least two years, be prepared to invest the time and resources needed to fill the responsibilities described, and have the commitment necessary to fully engage in the governance of the organization.


Geography, Skill-set, Characteristics

Geography will play a role in candidates selected, as well as particular characteristics, professions, skill-sets, and interests.

Financial Commitment

When fiscally possible, the organization provides some financial assistance to officers and Board members to help defray expenses to travel to board meetings. Officers and Board members are expected to find their own support for annual conference travel expenses.

Procedure for Selecting Nominees

  • Nominations must be submitted in writing using the Nomination Form  http://www.naaee.org/about-naaee/board/election-2008/nom_form08.doc
  • Each nomination must include a cover letter from the nominee confirming that the nominee meets the eligibility requirements stated in the Bylaws, along with a statement that the nominee is willing to serve.
  • E-mail these materials to Steve Eshbaugh, Chair of the Nominations Committee, at naaee-nominee at hotmail.com


Deadline for receiving nominations is August 6, 2008


The Nominations Committee will review all nominations and select a slate based on the Bylaws' requirements and directions from the Executive Committee. The Nominations Committee then presents the slate of candidates to the Board for approval. The final slate must provide the Board, which looks for a balance among various constituencies, Affiliates, NAAEE committees and commissions, interest areas, and skill sets as well as geographic region, gender, and other diversity considerations.

  • Candidate to be selected by August 25, 2008
  • NAAEE conducts its elections electronically, unless a member does not have an e-mail address or specifically requests a paper ballot. 
  • The 2008 election is expected to be held from September 10 to October 24, 2008.
